MomentaLive | AI Photo Animation Tool to Bring Photos to Life Terms of Service

This MomentaLive Terms of Service agreement (the “Agreement“) governs the contractual relationship between the Company as a service provider and any natural person as a service user.

  1. General Provisions and Definitions

1.1 Company. Nuvem Catita Unipessoal Lda (the “Company”) NIPC: 516958089 Registered Office: Avenida Aida 411, Centro Comercial Estoril Garden, 2765-187 Estoril, Portugal

1.2 Client. Any person using the Company’s services/systems under this Agreement (the “Client” / “You”).

1.3 Services and System. The Company provides AI-powered services to transform static images into dynamic videos and related features (the “Services”). The Services can be reached via the website at https://momenta.live/ (the “Website”). The Website and any other online ecosystem used by the Company are the “System”. Content generated while using the Services (e.g., photos, videos) is “Generated Content”.

1.4 Service List. The full list of Services is indicated in the System and may change without prior notice. You may access only those Services you have fully paid for, and only for the paid period.

1.5 Third-Party Technology. The Company may use third-party tools; those third parties have their own terms.

1.6 Availability. Services are available globally with possible regional restrictions. You must ensure legality of access in your location.

1.7 Acceptance. By using the Services/System, you agree to this Agreement and other applicable rules.

1.8 Effectiveness. This Agreement takes full effect once you pay for a selected subscription plan. Certain rules also apply to pre-payment use and one-time purchases.

1.9 Withdrawal Waiver. You waive the right of withdrawal because Services are digital content not supplied on a tangible medium.

1.10 Changes. The Company may update this Agreement at any time. Continued use constitutes acceptance. Latest version: https://momenta.live/legals/terms-of-service .

1.11 Data Processing. You agree the Company may process your personal data where necessary to perform this Agreement.

1.12 Disagreement. If you do not agree, stop using the System/Services immediately.

  1. Access to Services / Creating an Account

2.1 Registration Steps (Website).

2.2 Required Data.

2.4 Cookies. You must allow cookies per preferences; see Privacy Policy: https://momenta.live/legals/privacy-policy .

2.5 Acceptance of Policies. Agreement, Privacy Policy, and other rules are mandatory.

2.6 Human Verification. You may be asked to perform anti-bot tests during account/login/payment.

2.7 Data Changes. Company may modify required information at any time.

2.8 Payment Details. Payment details are required to conclude an order.

2.9 Resubmission. The Company may request updated data periodically or ad hoc.

2.10 Accuracy. You confirm the data is true, complete, and that you own the resources used (email, bank account, etc.).

2.11 Personal Use Only. Accounts are personal; do not share credentials or act on behalf of others.

  1. Suspension and Removal of Access

3.1 Mismatch / Discrepancies. Services may be suspended if account ownership/info discrepancies exist.

3.2 Additional Suspension Grounds. Including but not limited to:

Material breach (e.g., non-payment)

Not of legal age

Restricted location usage

Any violation of this Agreement or laws

Actions posing security/reputational/financial risks

3.3 Notice. Suspension notices are sent via email and include reasons, term (or “indefinite”), and steps to remedy (if applicable).

3.4 Remedy Period. If permitted, a remedy period may be granted at Company’s discretion.

3.5 Legal Violations. Company may contact authorities and may impose lifetime bans.

  1. Payments and Refunds

4.1 Pricing Control. Company sets prices, durations, promotions, and related rules.

4.2 Current Prices. Shown in the System after selecting “Claim my plan” (or similar). Plan changes: contact sha-sabir@yandex.ru .

4.3 Currency. Prices are in USD unless stated otherwise.

4.4 Check Before Ordering. Verify price/features before ordering. Ongoing service prices change only with your consent given at initial subscription.

4.5 Payment Timing. Fees are paid after choosing a plan and before account creation.

4.6 Billing Details. Calculation, method, period, and frequency are shown in the System at order confirmation.

4.7 Recurring Charges. If not canceled, you will be charged each further period per plan.

4.8 Subscription Choice. You must opt into subscription and may revoke per plan rules.

4.9 Valid Payment Method. Keep payment details valid and sufficient.

4.10 Taxes. Fees are net of taxes; you are responsible for any applicable taxes/duties.

4.11 Payment Rights. You warrant the right to use provided payment information.

4.12 Subscription Model.

Limited-time discounts may apply

Bonus Referral Program:

Referrer: +10 credits when a new user subscribes via your link

Referred user: +10 credits upon subscription

Credits valid 30 days; non-transferable; no cash value

Abuse may result in disqualification/suspension/credit forfeiture

Program may change or end without notice

No refunds if any credits (incl. bonus) are used after subscription, except the initial signup credit

4.13 Auto-Renewal.

Renewals occur automatically for a period equal to the last paid term

Exception: 1-week renews to 1-month

Charged at then-current, non-discounted rate to your saved method

Continues until you cancel

4.14 Billing Day.

Charged on the same calendar day as initial/last payment (subject to failures/non-working days in the USA)

On failure due to client reasons, up to 6 retries in 2 months

4.15 Price/Plan Changes. Cancel at least 2 days before the end of current period to avoid renewal. Website subscribers may cancel via sha-sabir@yandex.ru .

4.16 Cancel to Stop Use.

4.17 Plan Periods. Generally 1-week, 1-month, 2-month (may vary). Read plan description.

4.18 Unlimited Upgrade (if offered). One-time payment may grant unlimited access per promotional rules.

4.19 One-Time Add-Ons. E.g., extra credits for limited time, governed by offer rules.

4.20 Client Obligations.

Cover all additional costs/taxes from use

Use valid payment method

Provide accurate, up-to-date account/order info

Service may be suspended for inaccuracies; refunds may be forfeited

4.21 Third-Party Payment/Admin Providers. Omniroot LLC (USA) and Novarock UAB (Lithuania) support payments and refunds. Payment/refund inquiries: sha-sabir@yandex.ru .

4.22 Gateways. Payments are processed by third-party gateways; card data is not stored by Company. Company isn’t liable for third-party payment disputes.

4.23 Cancellation Notice. Notify at least 2 days before the next period. Late cancellations apply to the following period.

4.24 Refund Policy.

14-day policy: Eligible if within 14 days of subscribe date and no subscription credits used (initial signup credit doesn’t count).

Company fault: Full/partial refunds if Services not provided due to Company fault.

Exceptional refunds: At Company’s sole discretion, proportional to use.

4.25 Immediate Performance Consent. By purchasing, you consent to immediate performance and acknowledge loss of withdrawal right after 14 days or upon using subscription credits (initial signup credit excluded).

4.26 Withdrawal Loss. You agree to lose withdrawal right once 4.24/4.25 conditions occur.

4.27 Billing Claims. Submit fee/charge claims within 30 days to sha-sabir@yandex.ru .

4.28 Other Concerns. Contact support at sha-sabir@yandex.ru .

  1. License to Access and Use the System

5.1 Limited License. Non-exclusive, limited, non-transferable, revocable, tied to paid Services.

5.2 Lawful Personal Use Only.

5.3 Termination of License. Ends when you stop using Services/System or upon Agreement termination.

5.4 Support Suspension. Company may cease supporting features; license may be suspended accordingly.

5.5 IP Ownership. All IP in/on the System is owned by the Company.

5.6 IP Restrictions. No republishing, selling, sublicensing, public display, copying for commercial purposes, redistribution, editing, or System-impairing use unless expressly permitted.

5.7 Scope. Applies to all versions, features, and derivatives.

  1. Risks

6.1 Service Nature. Entertainment purposes; you bear risks, comply with laws and third-party platform terms; respect privacy of others; generated media may not reflect reality and may distort appearance; do not use if you have concerns (e.g., self-image).

Software Weaknesses. No guarantee of uninterrupted/error-free operation.

Regulatory Risk. Laws may change and impact Services; you must ensure compliance.

Theft/Internet Vulnerability. Systems may face electronic/physical attacks.

6.2 No Responsibility for Spoofing/Phishing Losses.

  1. Third Parties and Disclaimers

7.1 Third-Party Access/Processing. Your data may be disclosed to service providers to deliver Services.

7.2 Third-Party Terms Apply. Disputes with third parties are resolved directly with them.

7.3 External Links. Provided for convenience; Company does not endorse or warrant accuracy.

7.4 Information Accuracy. System/social content may contain errors; verify if in doubt.

  1. Indemnification and Warranties

8.1 Indemnification. You will defend/indemnify Company and affiliates against third-party claims arising from your breaches or legal non-compliance. AI outputs are probabilistic and may not meet expectations; such outcomes are not service failure.

8.2 Feedback. Suggestions are voluntary; Company may use them without obligation; royalty-free worldwide license applies to feedback and your operational content (e.g., answers).

8.3 “As Is.” Services/System are provided “as is” at your risk; no warranties beyond this Agreement.

8.4 Compatibility. You are responsible for hardware/software/internet. Company may provide advice at sha-sabir@yandex.ru but is not obliged.

  1. Termination

9.1 Company Termination/Suspension. Possible for Agreement/policy breaches; refunds not due.

9.2 Your Termination. Cancel your plan; Agreement ends on last paid day; no refund for elapsed period.

9.3 Material Breach. Company may contact authorities and impose lifetime bans; credentials may be blocked.

9.4 How to Terminate. Website clients: cancel via Account or contact support (“Contact us”) for assistance.

  1. Governing Law and Sanctions

10.1 Law. Lithuanian law governs, subject to mandatory consumer protections of your residence.

10.2 Disputes (Informal). First contact sha-sabir@yandex.ru .

10.3 Further Resolution. EU consumers: ODR https://ec.europa.eu/consumers/odr . US consumers: local consumer protection agency.

10.4 Jurisdiction. Exclusive courts of Lithuania, to the maximum extent permitted by law.

10.5 Class Actions. Claims only in individual capacity; consolidation only with written consent of all parties.

10.6 Illicit Use Prohibited. No money laundering, terrorist financing, or sanctions violations.

10.7–10.9 Sanctions/Blocked Jurisdictions. You warrant you are not on any sanctions list. Company may block jurisdictions. Residents/visitors of prohibited jurisdictions may not use Services.

  1. Miscellaneous

11.1 Language. English governs communications; English version prevails.

11.2 Updates. Updates take effect when published; continued use equals acceptance.

11.3 Assignment. You may not transfer rights without prior written consent. Company may assign rights/obligations.
